1. Who you are contracting with

The RankPilot AI service ("Service") is provided by PXP Holdings ("we", "us", "our"). By accessing or using the Service, you ("you", "User") enter into a binding agreement with PXP Holdings.

2. Acceptance

By using the Service you agree to these Terms. If you do not agree, do not use the Service. Your continued use of the Service constitutes ongoing acceptance of these Terms, including any updates we make.

3. The Service

RankPilot AI provides AI-powered SEO audits and related optimization services. You must provide accurate information (such as your website URL and business details) and keep your account information current. You are responsible for maintaining the confidentiality of your credentials and for activity under your account.

4. Acceptable use

You agree not to misuse the Service, including:

• Using the Service unlawfully or for fraudulent or spam purposes.
• Infringing intellectual property or other rights of any party.
• Interfering with the security or integrity of the Service (e.g. uploading malware, probing, scanning, or scraping in violation of these Terms).
• Submitting URLs or content you do not have the right to submit.

5. Intellectual property

We retain all right, title, and interest in the Service, including software, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You may not reverse engineer, resell, or redistribute the Service or circumvent any technical limits.

6. Payments & subscriptions

Payments are processed by our reseller Paddle (see below). Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Refund timing and eligibility are described in our Refund Policy.

7. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

8. Service level & warranties

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or that audit results will be accurate or complete. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. AI outputs

The Service uses AI to generate recommendations and analyses. AI outputs may be inaccurate, incomplete, or out of date. You are responsible for reviewing outputs, verifying accuracy, and ensuring you have the rights to any content you submit. The Service is not a substitute for regulated professional advice. We may moderate, filter, or refuse outputs and may suspend accounts that submit prohibited content (including illegal content, deepfakes, hate speech, malware, or attempts to jailbreak the system).

10. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, personal injury, or any other liability that cannot be limited by law.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

12. Suspension & termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

13. Governing law & disputes

These Terms are governed by the laws applicable to PXP Holdings' principal place of business. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer law provides otherwise.

14. Changes & assignment

We may update these Terms from time to time; material changes will be notified through the Service. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control.
